I think a lot depends on the Goodwill and key people rather than assets.
Goodwill I take to embrace the community already developed.
Without golden handcuffs for key personnel (assuming you need them), the value is significantly less than what it would be if you keep them on board.
Off course, all this assumes that the development is well documented (programme annotations), has support and maintenance processes which are streamlined and easy to understand and action and of course the data model is detailed and manageable.
